Terms of Use

1. Acceptance of these terms

These Terms of Use (“Terms”) govern your use of www.edgetechit.us, our employee and consultant portal, and any related pages (together, the “Site”), operated by EdgeTech IT LLC (“EdgeTech IT,” “we,” “us” or “our”). By using the Site you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

If you use the Site on behalf of a company, you confirm that you have authority to accept these Terms for it.

2. Eligibility

You must be at least 18 years old to use the Site, submit requests or apply for roles. The Site is intended for users in the United States.

3. Our services and the Site

The Site describes EdgeTech IT’s data center staffing and IT services. Its content, including service descriptions, job postings, rates, case studies and articles:

• is general information only, not professional, legal, safety or financial advice for your situation;
• is not an offer, quote or binding commitment; and
• may change at any time without notice.

Staffing and services are provided only under separate written agreements, such as a master services agreement, supplier agreement, C2C agreement or work order. If such an agreement conflicts with these Terms, the agreement governs.

4. Job postings and C2C engagements

• Postings: roles may be filled, changed or withdrawn at any time. Rates, schedules, locations, durations and requirements are good-faith descriptions and may change with the client program. Some postings may be examples marked “Sample.”
• No engagement until signed: applying, interviewing or being submitted to a client does not create an employment relationship, contract or guarantee of an assignment. An engagement exists only under a written C2C agreement or work order signed by an authorized representative of EdgeTech IT.
• C2C relationship: for C2C roles, you provide services through your own corporation or a C2C employer. You (or your C2C employer) are responsible for your own taxes, payroll, insurance and benefits, unless your written agreement says otherwise. Nothing on the Site makes you an employee of EdgeTech IT or of any client.
• Assignment terms: assignment length and extensions depend on the client’s program. Clients and prime vendors may end or change assignments under their agreements with us.
• Conditions: assignments may depend on background checks, drug screens, verification of certifications and work authorization, client approval and site badging.
• No fees: we never charge candidates or consultants to apply, interview or be placed. See the recruitment fraud warning in our Privacy Policy.
• Equal opportunity: EdgeTech IT LLC provides equal opportunity to all qualified candidates.

5. Accurate information

You agree that everything you submit (resumes, work history, certifications, licenses, references, rates, work authorization and corporation details) is true, complete and your own. Submitting false or misleading information, or forged or borrowed certifications, may result in disqualification, removal from an assignment and, where appropriate, notification of the affected client or authority. Data center work is safety-critical, so we verify qualifications carefully.

6. Acceptable use

You agree not to:

• use the Site for any unlawful, fraudulent or harmful purpose;
• impersonate any person or misrepresent your affiliation;
• probe, scan or test the vulnerability of the Site, or bypass any security or authentication measure, without our written permission;
• introduce malware or overload or disrupt the Site;
• scrape or harvest content, job postings or contact information by automated means (search engines indexing public pages excepted);
• use our name, logo or job postings to recruit for other companies, send spam or impersonate EdgeTech IT, including in fake job offers; or
• post or share confidential information about client sites, projects or security arrangements.

7. Employee and consultant portal

• The portal is for authorized employees and consultants only. Keep your login details confidential and tell us immediately about any unauthorized use.
• Timesheets you submit through the portal must accurately reflect hours actually worked and approved by the client where required. Falsifying time is grounds for removal from an assignment.
• The current portal is a demonstration environment with sample data; it is not connected to payroll, and its contents do not create any obligation.
• We may suspend portal access at any time, including when an assignment ends.

8. Text messages

If you agree to receive text messages from us, we may text you about job opportunities, interviews, onboarding and assignment updates. Message frequency varies and message and data rates may apply. Reply STOP to opt out or HELP for help. Consent is not a condition of applying or of any assignment. See our Privacy Policy.

9. Intellectual property

The Site and its content, including text, graphics, our logo, design, code, articles, templates and the capability statement, are owned by or licensed to EdgeTech IT LLC and are protected by copyright, trademark and other laws. You may view and print pages for your personal or internal business use, keeping all notices intact. Any other use requires our written permission.

10. Third-party names and trademarks

The Site shows names and logos of other companies, including end clients and partners our consultants have worked with and hardware, network and software platforms our teams use. These names and logos are trademarks of their respective owners. They are shown only to identify those organizations and technologies; their display does not mean that any of those companies sponsor, endorse or are affiliated with EdgeTech IT, except where we say so expressly. Trademark owners who have questions or want a mark removed can contact vinod@edgetechit.us.

11. Information you submit

When you send us information through forms, email or other channels, you confirm that you have the right to share it and that it does not include confidential information of a third party (such as a client’s site details, drawings or security information) that you are not authorized to disclose. Please do not send confidential business information before a non-disclosure agreement is in place. Personal information is handled under our Privacy Policy.

12. Third-party links and tools

The Site may link to or embed third-party websites and services (such as job boards, LinkedIn, maps, scheduling, chat, form providers and client VMS platforms). We do not control them and are not responsible for their content, availability or practices.

13. Disclaimer of warranties

The Site and all content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy or uninterrupted, secure or error-free operation.

14. Limitation of liability

To the fullest extent permitted by law, EdgeTech IT LLC and its officers, employees, consultants and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or related to your use of, or inability to use, the Site. Our total liability for any claim relating to the Site or these Terms will not exceed one hundred US dollars (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. These limits do not apply to liability that cannot be limited by law, and they do not affect any separate written agreement for staffing or services.

15. Indemnification

You agree to defend, indemnify and hold harmless EdgeTech IT LLC and its officers, employees and agents from claims, damages, losses and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your misuse of the Site, or information you submit.

16. Governing law and disputes

These Terms are governed by the laws of the State of TX and applicable US federal law, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at vinod@edgetechit.us and try in good faith to resolve the dispute informally for at least 30 days. Disputes not resolved informally will be brought exclusively in the state or federal courts located in Lewisville, TX, and you consent to their jurisdiction.

17. Accessibility

We aim to make the Site accessible to everyone and design it with the Web Content Accessibility Guidelines (WCAG) 2.2 Level AA in mind. If you have difficulty using any part of the Site or applying for a role, contact us at vinod@edgetechit.us or +1 (814) 323-1767 and we will help you another way.

18. Changes, termination and general terms

• Changes: we may update these Terms by posting a new version with a new effective date. Continued use of the Site means you accept them.
• Suspension: we may suspend or restrict access to the Site at any time, including for violation of these Terms.
• Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and us about the Site.
• Severability, no waiver and assignment: if any provision is unenforceable, the rest remains in effect; our failure to enforce a provision is not a waiver; you may not assign these Terms, and we may assign them in a merger, acquisition or sale of assets.
